Company Statement

Knight Energy Corp. (Knight) is a holding company formed to acquire, develop, own, operate and otherwise be involved and invest in energy-related businesses, assets and investments, including, without limitation, the acquisition, exploration and development of natural gas and crude oil, the acquisition and operation of drilling rigs and/or gathering systems and/or pipelines for natural gas and/or crude oil, and other related businesses, assets and investments.

Knight Energy Corp., through its wholly owned subsidiary subsidiary, Charles Hill Drilling, Inc. owns a 100% working interest in a 160-acre oil and gas lease in Stephens County, Texas. Stephens County has been a successful producer of oil and gas over the last fifty years.

Knight Energy Corp., also owns and is managing its own drilling rig that will be used to drill additional wells on the current leased property as well as other potential properties that Knight is reviewing for consideration.

Knight is currently reviewing further acquisitions and investments in the oil and gas industry as well as other energy related businesses and assets.

Charles Hill Drilling, Inc.
Charles Hill Drilling, Inc. (CHD) is a wholly owned subsidiary of Knight Energy Corp. CHD is an oil and gas drilling company that's management has significant energy experience and relationships, with specific focus in the acquisition, development and operation of oil and gas properties. The management of CHD has been involved with all facets of oil and gas operations and previously operated W.A. Hill & Sons, Inc., one of the largest Gulf Oil Company jobbers in the country.

CHD owns and operates its own drilling equipment as well as employs its own drilling crews.

Operations and Technology

The Company, together with its wholly-owned subsidiary, Charles Hill Drilling, Inc., owns oil and gas leases covering 1,240 acres in Stephens and Eastland Counties, Texas, and it has the right of first refusal on approximately 2,900 more acres in the same area. The Company also owns three drilling rigs and approximately 1,000 undeveloped oil and gas leasehold acres in the Salt Creek Prospect area of Oklahoma.

As of May 15, 2008, Knight had a 100% working interest in 20 producing oil and/or gas wells, with seven additional wells awaiting completion. The Company is currently reviewing further acquisitions and investments in the oil and gas industry as well as other energy related businesses and assets.

Knight Energy Corp., through its wholly owned subsidiary Charles Hill Drilling, Inc., controls the Flournoy lease oil & gas property in Stephens County Texas. The lease agreement contains approximately 160 acres. This property includes eight oil and gas wells. Over the last fifty years, the Stephens County area has been very successful in the production of oil and gas.
